For foreign investors and local entrepreneurs, the Kingdom of Saudi Arabia (KSA) presents a welcoming environment, with numerous incentives for businesses across various sectors. However, understanding the registration process and fulfilling the requirements is crucial for a smooth entry into the Saudi market. In this blog, we'll cover the essential steps and requirements for registering a business in Saudi Arabia.

Types of Legal Structures

Before starting the registration process, it’s important to determine the legal structure of your business. The most common types of entities in KSA include:

- Limited Liability Company (LLC): This is the most popular choice for both foreign investors and local entrepreneurs, allowing the liability of shareholders to be limited to their contributions.

- Branch of a Foreign Company: Foreign businesses can register a branch in KSA to carry out their operations.

- Joint Stock Company: This structure is suitable for larger enterprises with multiple shareholders.

- Sole Proprietorship: This is for individuals who want to operate under their name.

Each structure has its own set of requirements and benefits, so it’s important to choose the one that best aligns with your business goals.

Basic Requirements Before Applying Business: 

Once you’ve chosen the appropriate legal structure, you need to meet several basic requirements to legally register a business in KSA:

  • Ministry of Investment Saudi Arabia (MISA) License: Foreign investors must apply for an MISA investment license. This is a crucial step, as it grants permission for foreigners to operate in the country. Local entrepreneurs may skip this step.


  • Commercial Registration (CR): All businesses in KSA must obtain a Commercial Registration (CR) from the Ministry of Commerce and Investment (MCI). This document formally recognizes the establishment of your business and is mandatory for conducting operations.


  • Articles of Association: For corporations such as LLCs and joint stock companies, the Articles of Association must be drafted and notarized, outlining the purpose of the business, share distribution, and company structure.


  • Minimum Capital Requirement: The minimum capital varies depending on the business structure and the sector. MISA may also impose capital requirements for foreign investors depending on the industry.


  • Business Name Registration: Your chosen business name must be approved and registered with the Ministry of Commerce. The name should align with Saudi naming conventions and must not be already in use.

  

Tax and Zakat Registration

In Saudi Arabia, businesses must register for both tax and Zakat. The General Authority of Zakat and Tax (GAZT) oversees the collection of taxes. All businesses, regardless of their structure, must register for VAT if their taxable turnover exceeds SAR 375,000 annually. Additionally, Zakat is obligatory for all Saudi and GCC-owned companies at a rate of 2.5% of their net worth. For non-GCC foreign-owned companies, only corporate income tax (CIT) applies at a rate of 20%.

Opening a Bank Account

Opening a corporate bank account in Saudi Arabia is a critical step in business registration. Most banks require a minimum deposit, depending on the type of account and the bank itself. Typically, businesses will need to present their Commercial Registration, MISA license (if applicable), and other documents related to the company’s legal status.

Office Space Requirement

To register a business in KSA, you must have a physical office location. Virtual offices or PO boxes are generally not accepted for official registration purposes. Leases for office space must be registered with the Saudi Municipality and are often a prerequisite for obtaining a Commercial Registration.

Work Visas and Hiring

If you are a foreign investor, you may need to hire foreign workers to manage your operations in KSA. To do this, your company must be registered with the Ministry of Human Resources and Social Development (MHRSD) to obtain work visas and issue permits to foreign employees. Companies must also comply with the Saudization (Nitaqat) program, which requires businesses to employ a specific percentage of Saudi nationals.

Finally, registering a business in Saudi Arabia involves several essential steps and requirements, from obtaining a MISA license and registering your business name to fulfilling tax obligations and opening a bank account.
